The following terms and conditions govern your access of the Zagnoli McEvoy Foley, LLC ("ZMF") VoirDireBASE.com database. You will be deemed to have indicated your acceptance of the terms of this agreement by clicking "Accept" below and completing the online ordering process. If you do not wish to accept and be governed by this agreement, then do not complete the online ordering process.

Access License: Subject to the terms and conditions herein, ZMF hereby grants you a non-transferable, non-exclusive right and license to access the VoirDireBASE.com database (the "Database") on a "password restricted" basis, and in connection with such access, to download, print, copy, use, reformat, analyze, and display voir dire questions in the selected Database categories for your internal business purposes only, including use of such questions in an actual voir dire proceeding. You may not engage in any commercial sale, redistribution, broadcast or transfer of the Database, or any part thereof. You may not use the Database or any part thereof, in another searchable database. Except as permitted herein, you agree not to rent, lease, sublicense, distribute, transfer, copy, reproduce, display, modify, store, or time-share the Database, or any part thereof. ZMF reserves all rights not expressly granted to you.

Proprietary Rights. ZMF is the sole owner of the Database, including any adaptations or copies thereof, and including all associated intellectual property rights. ZMF claims U.S. and foreign copyright ownership with respect to the Database.

Passwords. You assume sole responsibility for the security of passwords issued to you. A password is valid for use only by the person/organization to which it is issued. If you believe that any password is being used by someone other than as authorized hereunder, you must notify ZMF immediately.

No Warranty; DISCLAIMER OF WARRANTIES. Access and use of the Database as permitted herein is at your sole risk. The Database, and all information therein contained, is provided on an "AS IS, AS AVAILABLE basis without warranty, express or implied, of any kind or nature. You are solely responsible for determining whether your access and use of the Database will achieve the results you desire. You are also responsible for complying with all local, state, and federal laws pertaining to the use and disclosure of any data in the Database. ZMF is not responsible for obsolescence of the Database, or any part thereof, that may result from changes in your requirements, or changes in law. ZMF SPECIFICALLY DISCLAIMS ANY EXPRESS OR IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

Limitation of Liability. In no event shall ZMF be liable to you or any third party for any consequential, indirect, special, cover or incidental damages, even if ZMF has been advised of the possibility of such loss or damage. ZMF’s liability to you shall in any event be limited to fees paid by you to ZMF during the 6-month period preceding the event giving rise to the claim.

Governing Law/Jurisdiction/Venue. The laws of the State of Illinois shall govern this Agreement, notwithstanding any conflicts of laws provisions. You agree to submit any dispute hereunder to the jurisdiction of the Illinois State courts in and for Cook County, Illinois, or the Federal District court for the Northern District of Illinois.

Entire Agreement. This Agreement is the complete and exclusive statement of the agreement between the parties and supersedes all proposals or prior agreements, oral or written, and all other communications between the parties relating to the subject matter hereof.
